Hubnity Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hubnity platform, websites, and our desktop, mobile, and browser applications, together with any related services that reference these Terms (collectively, the "Services"). The Services are operated by FENS Trade FZ-LLC, a free zone company established in Ras Al Khaimah, United Arab Emirates ("Hubnity", "we", "us", or "our").

These Terms, together with our Privacy Policy and any other policies or agreements we make available and that reference these Terms (such as a Data Processing Agreement), form the "Agreement" between you and Hubnity. By accessing, registering for, or using the Services, you agree to be bound by this Agreement. If you do not agree to these Terms, you must not access or use the Services.

1. Acceptance of the Terms

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, and "you" refers to that organization.

2. Definitions

  • 1."Customer" means the individual or organization that registers for or subscribes to the Services.
  • 2."User" means any person authorized by the Customer to access the Services, including administrators and members.
  • 3."Organization" means a workspace created within the Services to manage Users, teams, projects, and settings.
  • 4."Customer Data" means any data, content, or information submitted to or collected through the Services by or on behalf of the Customer or its Users.
  • 5."Subscription" means a paid plan that grants access to the Services for a defined billing period.

3. Eligibility and Authority

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business and professional use and are not directed to children. By using the Services, you represent that the information you provide is accurate and that you have the authority to enter into this Agreement.

4. Accounts and Account Security

To access certain features you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate and complete information, keep it up to date, and notify us promptly of any unauthorized use or security breach. We may suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

5. Organizations, Roles, and Responsibilities

The Services allow a Customer to create an Organization and invite Users with different roles, such as administrators and members. Administrators may configure settings, manage Users, and access Organization data, including activity and time-tracking data of its Users where enabled. The Customer is responsible for managing its Users, defining their roles, and ensuring that each User complies with this Agreement. The Customer is responsible for all use of the Services within its Organization.

6. Subscriptions, Plans, and Free Trial

We offer the Services under various subscription plans, which may include a free trial. Unless stated otherwise, free trials are available for a limited period and may require a valid payment method. Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled before the renewal date. By subscribing, you authorize us and our payment providers to charge the applicable fees on a recurring basis until you cancel.

7. Fees, Billing, and Taxes

You agree to pay all fees for the plan you select, in the currency and at the rates in effect at the time of purchase. Payments are processed by third-party payment providers, and you agree to their terms. Fees are exclusive of taxes, and you are responsible for any applicable taxes, duties, or levies, except for taxes based on our net income. We may change our prices, and we will provide reasonable notice of any price change that affects an existing Subscription before it takes effect.

8. Cancellation and Refunds

You may cancel your Subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you will retain access until then. Except where required by applicable law or expressly stated in our Refund Policy, fees already paid are non-refundable and we do not provide refunds or credits for partial periods.

9. License to Use the Services

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your Subscription. All rights not expressly granted are reserved by Hubnity.

10. Acceptable Use

You agree not to:

  • 1.use the Services in violation of any applicable law or regulation;
  • 2.copy, modify, reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law;
  • 3.resell, sublicense, or provide the Services to third parties except as expressly permitted;
  • 4.interfere with or disrupt the integrity, security, or performance of the Services, or attempt to gain unauthorized access;
  • 5.upload malicious code, or use the Services to store or transmit unlawful, infringing, or harmful content;
  • 6.use the Services to harass, abuse, or violate the rights of others.

11. Workforce Monitoring and Lawful Use

The Services include features that allow employers and Organizations to track time and measure productivity, which may include screenshots, application and website usage, activity levels, and related data ("Monitoring Features"). Where the Customer enables Monitoring Features, the Customer is solely responsible for ensuring that its use is lawful in every applicable jurisdiction.

In particular, the Customer is responsible for: (a) establishing a valid legal basis for monitoring; (b) providing clear and adequate notice to all monitored individuals; (c) obtaining any consents required by applicable employment, privacy, or data protection laws; and (d) acting as the data controller for such data. Hubnity acts only as a processor of this data on the Customer's behalf and is not responsible for the Customer's monitoring decisions. The Customer agrees to indemnify Hubnity against claims arising from its use of Monitoring Features.

12. Customer Data and Content

As between the parties, the Customer owns all Customer Data. You grant Hubnity a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide, maintain, and improve the Services and as otherwise permitted by this Agreement and our Privacy Policy. You are responsible for the accuracy, quality, and legality of Customer Data and for having the necessary rights to submit it to the Services.

13. Desktop, Mobile, and Browser Applications

Some features require installing our desktop, mobile, or browser applications. We grant you a limited license to use these applications in connection with the Services. The applications may automatically download and install updates to maintain security and functionality. You are responsible for ensuring you have the rights to install the applications on the relevant devices.

14. Intellectual Property

The Services, including all software, designs, text, graphics, and trademarks, are owned by Hubnity or its licensors and are protected by intellectual property laws. These Terms do not transfer any ownership rights to you. If you provide feedback or suggestions, you grant Hubnity a perpetual, royalty-free license to use that feedback to improve the Services without obligation to you.

15. Third-Party Services

The Services may integrate with or link to third-party products and services that we do not control. Your use of those services is subject to their own terms and policies, and we are not responsible for them. Enabling a third-party integration may allow that provider to access Customer Data, and you authorize such access by enabling the integration.

16. Privacy

Our collection and use of personal data in connection with the Services is described in our Privacy Policy. By using the Services, you acknowledge that you have reviewed it.

17. Service Availability, Support, and Modifications

We strive to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation unless expressly set out in a separate service level agreement. We may modify, add, or discontinue features from time to time. We will use reasonable efforts to notify you of material changes that significantly reduce core functionality of a paid plan.

18. Beta and Pre-Release Features

We may offer features identified as beta, preview, or experimental. These are provided "as is", may be changed or withdrawn at any time, and are excluded from any availability or support commitments. You use such features at your own risk.

19. Suspension and Termination

You may stop using the Services and terminate your account at any time. We may suspend or terminate your access if you breach this Agreement, fail to pay fees when due, or if your use poses a security or legal risk. Upon termination, your right to use the Services ends. We may make Customer Data available for export for a limited period after termination, after which it may be deleted in accordance with our Privacy Policy and applicable law.

20. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your requirements or be uninterrupted, secure, or error-free.

21. Limitation of Liability

To the maximum extent permitted by law, Hubnity and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts paid by you to Hubnity for the Services during the twelve (12) months preceding the event giving rise to the claim.

22. Indemnification

You agree to indemnify and hold harmless Hubnity and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your Customer Data, your use of Monitoring Features, or your breach of this Agreement or applicable law.

23. Force Majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility failures, or government actions.

24. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah, without regard to its conflict-of-laws principles. The courts of Ras Al Khaimah will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement or the Services, and you consent to that jurisdiction and venue.

25. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "last updated" date above and, where the changes are material, provide additional notice through the Services or by email. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

26. Miscellaneous

This Agreement constitutes the entire agreement between you and Hubnity regarding the Services and supersedes any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
